Curaleaf Bids to Acquire Aurora in Mega Cannabis Merger

A U.S. cannabis company has made a bid to acquire Aurora Cannabis Inc., which is based in Edmonton. Aurora has formed a special committee to review this unsolicited offer. Curaleaf Holdings Inc. aims to purchase all shares of Aurora, creating a combined cannabis entity operating in 17 countries worldwide. Despite attempts to negotiate privately, Aurora’s board has not engaged with Curaleaf’s leadership. Curaleaf now plans to present its proposal directly to Aurora shareholders. The bid includes offering $4 US per share, along with $0.75 US cash for each Aurora share. Aurora confirmed receiving letters from Curaleaf with proposals to acquire its shares but disagrees with Curaleaf’s assertion that it refused to engage. Aurora’s independent directors will evaluate the proposal’s merit. While negotiations proceed, Aurora will continue its usual operations. Analysts caution that the current offer undervalues Aurora’s potential, citing its market leadership and strong balance sheet. Curaleaf anticipates significant cost synergies from the merger, aiming to enhance shareholder value and capitalize on regulatory opportunities.
